For the purposes for forming a general business Corporation or filing for Limited Liability Company (LLC) status, there are no requirements that a person be a resident of the state in which the company is to be formed.
But there is one requirement for most states that must be managed.
As an example, be it for incorporation or LLC filings, a person can be a resident of the State of California and be a shareholder in a corporation formed in Colorado.
However, most states require that the corporation have a resident statutory agent that maintains a physical address within the state in which mail can be delivered or process served. The agent does not have to have any ownership interest in the corporation; and many commercial services charge only a modest fee to provide the statutory agent service.
