Many states have a process by which a Limited Liability Company can be revived if it has been administratively dissolved or not maintained.
Each state\’s procedures are different, and each state has a different time frame in which the reinstatement process must be completed.
Standard Legal suggests that you view your state’s Secretary of State web site and search for ‘reinstatement’ or ‘revival.’
You may need to submit any annual filings that were not made to the state and/or pay an administrative reinstatement fee.
If you cannot find anything on the Secretary of State\’s web site, you may wish to call or e-mail the Secretary of State in order to determine the appropriate forms and process required to reinstate your LLC.
If you decide to create a brand new Limited Liability Company, we suggest you review Standard Legal’s LLC legal forms software title.
